| Dr. Milton K. Wong (Hon.), Chairman |
|
Dr. Wong is Chairman of HSBC Investments (Canada) Ltd., the funds management division of HSBC Bank. He founded M. K. Wong & Associates, an investment firm that he sold to the HSBC in 1996. Dr. Wong is also a Director of The Pierre Elliot Trudeau Foundation, The International Institute for Sustainable Development, and Seaspan Corporation. He is a past Director of Alcan and now serves on the advisory committee for the Rio Tinto Alcan Canada Forum. Dr. Wong served as Chancellor Emeritus of Simon Fraser University for six years and is the founding chairman of the Laurier Institution, a non-profit organization dedicated to studying the economic and social impact of cultural diversity. Dr. Wong's contributions to his community have garnered him numerous awards including the Order of Canada, Canada's most prestigious civilian award. Dr. Wong is a graduate of the University of British Columbia and the recipient of an honorary Doctorate of Law degree from Simon Fraser University.

| John K. Chan, President, Chief Executive and Director |

Mr. Chan was appointed President and Chief Executive in March 2005. Prior to joining Paystone Technologies, Mr. Chan was President of a successful Canadian venture / investment company based in Calgary, Alberta. He had also been active on the boards of various companies and a charitable foundation. Mr. Chan brings with him over 26 years of experience in the financing, management and corporate governance of complex organizations in various industry sectors in the domestic scene as well as international. These sectors included the resource, transportation and aviation. Mr. Chan is a Business School graduate of The University of Calgary and a member of The Canadian Institute of Chartered Accountants.

| Brian Greer, Vice President, Corporate Affairs & Corporate Secretary |

Mr. Greer has over 20 years experience as a senior business executive and corporate and commercial lawyer in Vancouver and has broad, practical experience in public and private corporate matters, business issues and risk management. Following seven years of practice in several Vancouver law firms, Mr. Greer has been engaged variously as in-house counsel, corporate secretary and consultant for a number of Western Canadian companies. Mr. Greer is a graduate of the Universities of Regina (BA - 1980) and British Columbia (LLB - 1983).

| Raymond Qu, Vice President, Business Development |

Mr. Qu has more than 15 years of marketing and management experience with leading Canadian consulting and multinational trading companies. Prior to joining Paystone, Mr. Qu founded a consulting company, which provided advice to its clients as well as facilitated in the incubation of entrepreneurial planning processes culminating in successful start-up companies. Mr. Qu's expertise includes a sound understanding of carrying on business in the domestic and international markets;
he also has a successful record in developing and building commercial relationships. Mr. Qu holds an MBA degree from the Sauder School of Business at the University of British Columbia.

| Rod Zadeh, Director of Information Technology |

Mr. Zadeh has in excess of 15 years experience in all aspects of computer systems, network infrastructure and operations; in particular, the design and implementation of network security controls related to financial transaction systems. Recognizing early on the power of the Internet, Mr. Zadeh has dedicated the bulk of his career to the development, implementation, and operation of highly available Internet facing systems for both successful startups and Fortune 500 companies alike. Mr. Zadeh is responsible for the day to day management of Paystone's IT infrastructure, which also includes the provision of technical solutions to business and product requirements. Mr. Zadeh graduated from the University of Calgary with a degree in Computing Science in 1992.

| Stacey Paget, Compliance Officer |

As Compliance Officer of Paystone Technologies Corp., Ms. Paget is responsible for all aspects of regulatory compliance, reporting and statutory filings. She plays a major role in the design and implementation of internal compliance policies as well as liaising with external compliance regulators and auditors. Ms. Paget is a member of the Association of Certified Anti-Money Laundering Specialists and currently holds a Certified Anti-Money Laundering (CAMS) designation. Prior to her position with Paystone, Ms. Paget was employed overseas and has considerable experience in the area of administration with one of Vancouver's prominent major law firms. Ms. Paget graduated with a Bachelor of Arts degree from the University of British Columbia.

| Laurent Munier, Director of Sales and Marketing |

Mr. Munier brings with him over 10 years of experience in building and growing web based companies. He has worked with all levels of Internet Sales and Marketing for web development companies, social networking sites, mega-portals and a host of e-commerce enabled sites processing thousands of transactions per day. Prior to joining Paystone, Mr. Munier co-founded several businesses including an Internet based e-commerce company. He currently is responsible for all aspects of marketing and sales at Paystone, including the development and implementation of marketing campaigns unique to Internet based sales for Paystone's suite of products. Mr. Munier is a graduate of the British Columbia Institute of Technology in International Trade - Marketing and Logistics.
